Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ArrayQ platform, websites, mobile applications, and related services (collectively, the "Service"), operated by ArrayQ, a division of Tanbel Inc., a Delaware C Corporation ("ArrayQ," "Company," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to these Terms, our Privacy Policy, and any other policies or agreements referenced herein. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
2. Description of the Service
ArrayQ is an all-in-one customer relationship management (CRM) software platform built for service-based and blue-collar businesses. The Service provides tools for managing leads and clients, scheduling, jobs, invoicing, payments, team coordination, and related business operations. We may, from time to time, add, modify, or remove features of the Service at our discretion.
3. User Accounts
To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
- Account Security: You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account.
- Age Requirement: You must be at least 18 years old to create an account and use the Service.
- Team Members: You are responsible for the actions of all users you invite to or authorize on your account, and for ensuring they comply with these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable local, state, federal, or international law or regulation;
- Use the Service to send unsolicited communications, spam, or messages that violate anti-spam or telemarketing laws;
- Upload or transmit malicious code, attempt to gain unauthorized access to the Service, or interfere with its operation, security, or integrity;
- Reverse engineer, decompile, copy, resell, or create derivative works of the Service except as permitted by law;
- Use the Service to store or transmit content that infringes the rights of others or that is unlawful, harmful, or fraudulent.
5. Subscriptions, Fees, and Payment
Certain features of the Service are offered on a subscription basis. By subscribing to a paid plan, you agree to pay all applicable fees for the plan you select, including any taxes. Subscription fees are billed in advance on a recurring basis (for example, monthly or annually) and are non-refundable except as required by law or expressly stated in these Terms.
- Free Plans and Trials: We may offer free plans or trial periods. We reserve the right to modify or discontinue free offerings at any time.
- Automatic Renewal: Paid subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will not receive a refund for the remainder of that period.
- Payment Processing: Payments are processed by third-party payment providers. By providing payment information, you authorize us and our providers to charge the applicable fees and agree to the providers' terms.
- Price Changes: We may change our fees from time to time. We will provide notice of material price changes, which will apply to subsequent billing cycles.
6. Your Content and Data
You retain all rights to the data, content, and information you and your users submit to the Service ("Customer Data"). You grant ArrayQ a limited, worldwide license to host, process, and use Customer Data solely as necessary to provide and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data and for obtaining any consents needed to collect and process information about your own customers.
7. Intellectual Property
The Service, including all software, text, graphics, logos, designs, and other content (excluding Customer Data), is the property of ArrayQ or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You may not use any of our intellectual property without our prior written permission.
8. Third-Party Services
The Service may integrate with or link to third-party products and services. We are not responsible for third-party services, and your use of them is governed by their own terms and policies. Your use of any integration is at your own risk.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
10. Limitation of Liability
To the maximum extent permitted by law, ArrayQ and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless ArrayQ and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we determine that you have violated these Terms or engaged in conduct that may harm the Service or its users. You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately. We may delete Customer Data following termination as described in our Privacy Policy and applicable law.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on the Service or by other reasonable means. Your continued use of the Service after such changes become effective constitutes acceptance of the revised Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
15. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and ArrayQ regarding your use of the Service and supersede any prior agreements, understandings, or communications.
